Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CW Affiliate Investments, LLC ("Company," "we," "us," or "our"), a Wisconsin-based software company. By accessing or using our website at cwaffiliateinvestments.com, any of our SaaS products, digital tools, educational courses, or social media publishing services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our Services. We may update these Terms from time to time, and your continued use of the Services constitutes acceptance of those changes.

Description of Services

CW Affiliate Investments, LLC operates a portfolio of digital products and services including:

• SaaS products: MemStack, ConnectStack, ShieldStack, ImageStack, AlgoStack, EpsteinScan, and other web-based software tools
• CW Social Publisher: An automated content publishing tool that posts content to TikTok and other social media platforms on behalf of authorized brand accounts
• Digital products and one-time purchase tools for entrepreneurs, developers, and small business owners
• Online educational courses and training materials
• Web properties including cwaffiliateinvestments.com and associated domains

Social Media Publishing Service (CW Social Publisher)

CW Social Publisher allows authorized users to schedule and publish content to TikTok and other social media platforms. By using this service, you acknowledge and agree to the following:

Authorization & OAuth

• You authorize CW Social Publisher to connect to your social media accounts through OAuth 2.0, the industry-standard authorization protocol
• You are granting us permission to publish content to your connected accounts on your behalf
• We will only access the minimum permissions (scopes) required to publish content — we do not access your private messages, contact lists, or other unrelated account data
• You are responsible for ensuring you have the rights to publish all content submitted through our service

Content Responsibility

• You retain full ownership of all content you submit for publishing
• You are solely responsible for ensuring your content complies with the terms of service and community guidelines of each platform (including TikTok's Terms of Service and Community Guidelines)
• We do not review, endorse, or assume liability for user-submitted content
• We reserve the right to refuse to publish content that we reasonably believe violates applicable laws or platform policies

Revoking Access

You may revoke CW Social Publisher's access to your social media accounts at any time by:

• Removing our app from your TikTok account settings (Settings → Security → Manage app permissions)
• Contacting us at cwaffiliateinvestments@gmail.com to request disconnection
• Revoking access through the platform's app management interface for other connected services

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Services to violate any applicable law or regulation
• Publish content through CW Social Publisher that infringes on intellectual property rights, is defamatory, obscene, or violates platform community guidelines
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected social media accounts
• Use automated means (bots, scrapers) to access our Services except as explicitly permitted
• Resell, sublicense, or redistribute our Services without written authorization
• Interfere with or disrupt the integrity or performance of our Services

Accounts & Subscriptions

Some of our Services require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

For subscription-based products, billing occurs on a recurring basis as specified at the time of purchase. You may cancel your subscription at any time, but refunds are subject to our refund policy for each specific product.

Digital Products & Sales

Digital products (courses, tools, templates) are delivered electronically upon purchase. Due to the nature of digital goods, all sales are generally final. If you experience technical issues preventing access to a purchased product, contact us at cwaffiliateinvestments@gmail.com and we will work to resolve the issue or provide a refund at our discretion.

Intellectual Property

All content, features, and functionality of our Services — including software, text, graphics, logos, and design — are owned by CW Affiliate Investments, LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you create and submit through our Services (including content published via CW Social Publisher). By using our Services, you grant us a limited, non-exclusive license to process and transmit your content solely for the purpose of providing the Services.

Third-Party Platforms & Services

Our Services integrate with third-party platforms including TikTok and other social media networks. Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party platforms.

Changes to third-party APIs or platform policies may affect the functionality of our Services. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted service when third-party platforms modify their systems.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CW AFFILIATE INVESTMENTS, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Content published or failed to be published through CW Social Publisher
• Unauthorized access to or alteration of your data or transmissions
• Actions taken by third-party platforms (including account suspension or content removal by TikTok or other platforms)
• Service interruptions, delays, or failures

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT WILL BE SUCCESSFULLY PUBLISHED TO THIRD-PARTY PLATFORMS.

Indemnification

You agree to indemnify, defend, and hold harmless CW Affiliate Investments, LLC, its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Services; (b) content you publish through CW Social Publisher; (c) your violation of these Terms; or (d) your violation of any rights of a third party, including intellectual property rights or platform terms of service.

Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms or any applicable law
• Publishing content that violates platform community guidelines
• Abusive, fraudulent, or harmful activity
• Non-payment for subscription services
• Request by law enforcement or government agencies

Upon termination, your right to use the Services will cease immediately. We will disconnect any linked social media accounts and delete associated OAuth tokens within 30 days. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Wisconsin, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We may update these Terms of Service from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify active subscribers. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
